Effective date: January 1, 2025
BCD provides AI-augmented software development services, including POC validation, internal tool development, legacy system modernization, and sprint burst capacity.
Each engagement is delivered in cycles of one to two weeks. The scope, deliverables, and price of each cycle are confirmed in writing before work begins.
Cycle fees are due within five business days of invoicing. Work begins upon receipt of payment. If payment is not received within that period, we reserve the right to pause work until the balance is settled.
Upon full payment of a cycle, all deliverables produced during that cycle — including source code, documentation, configuration files, AI prompts, and any fine-tuned model weights — are assigned to the Client. We retain no rights to the work after delivery.
We may reference the general nature of an engagement (e.g., "AI POC for a financial services company") in case studies unless the Client requests confidentiality in writing. Client names are never disclosed without explicit consent.
We treat all Client information — business details, technical specifications, and customer data — as strictly confidential. We will not disclose it to any third party without written consent, except where required by law. This obligation continues for three years following the end of the engagement.
Either party may end the engagement at the conclusion of any cycle by providing written notice before the next cycle begins. No cancellation fee applies.
If the Client terminates mid-cycle, fees paid for that cycle are non-refundable. All work completed to that point will be delivered.
We warrant that services will be performed to a professional standard. We do not guarantee any specific business outcome — commercial results depend on factors well beyond the scope of software delivery.
Our total liability for any claim arising from an engagement is limited to the fees paid for the cycle in which the issue occurred. We are not liable for indirect or consequential damages.
